Terms of Service of INTLDVS LLC
These Terms of Service govern your use of the website published by INTLDVS LLC and your engagement of the services we describe on it. INTLDVS LLC is located at 1022 S 580 W, Payson - 84651-3800, United States (US). By accessing this website or by engaging our services, you agree to these terms. Please read them carefully, because they describe what you may expect from us and what we expect from you.
Acceptance of These Terms
By visiting this website, by sending us a message, or by engaging INTLDVS LLC to perform any service, you confirm that you have read, understood and agreed to be bound by these Terms of Service together with our Privacy Policy. If you do not agree with these terms, you should not use the website and you should not engage our services.
These terms apply in addition to any written agreement that you and INTLDVS LLC sign for a specific program. If a signed agreement conflicts with these terms, the signed agreement governs for that program, and these terms continue to govern your general use of the website.
Eligibility and Authority
This website and our services are intended for businesses and for adults who act on behalf of businesses. By using the website or engaging our services, you represent that you are at least eighteen years of age and that you have the legal authority to enter into agreements on behalf of the organization you represent.
If you provide information about a client, an employer or another organization, you represent that you are authorized to do so. You agree to notify us promptly if your authority changes or if you become aware that information you provided is inaccurate.
Description of Services
INTLDVS LLC provides computer integrated systems design and related professional, scientific and technical services. Our services include Systems Architecture Design, Integration Program Management, Industrial Automation Interfaces, Data Platform Engineering, Security Hardening Reviews and Managed Modernization Roadmaps.
The descriptions of our services on this website are provided for general information. They do not constitute an offer, a guarantee of any particular result or a promise that a given service is suitable for your circumstances. The specific work we will perform for you is defined only in a written proposal or statement of work that both parties accept.
Proposals and Statements of Work
Each engagement begins with a written document that describes the objectives, the deliverables, the assumptions, the schedule and the fees. That document becomes binding only when it is accepted by both parties in writing.
Every proposal and statement of work depends on the assumptions recorded inside it, which may include the availability of client staff, the accuracy of the equipment inventory you provide, and the cooperation of third party vendors. If an assumption proves incorrect, the schedule, the effort required or the fees may need to be adjusted through the change process described below.
Client Responsibilities
A successful integration program is a shared effort. You agree to provide timely access to your facilities, your systems, your documentation and the personnel who operate and maintain them. You agree to designate a point of contact who can make decisions on your behalf and who can resolve dependencies that cross your internal teams.
You agree to provide accurate and complete information about the systems we are being asked to integrate, including any known defects, non-standard configurations or safety constraints. You agree to obtain any consent or third party authorization required before we access a system, and to maintain any licenses that your equipment or software requires.
You also agree to maintain reasonable backups of your data and configurations before we perform work that modifies a system, and to keep your production staff informed of the planned changes and their timing.
Fees and Payment
Fees for our services are stated in the applicable proposal or statement of work. Depending on the engagement, fees may be fixed for a defined scope, charged on a time and materials basis, or charged as a retainer. Travel, hardware, third party licenses and other pass-through costs are billed as described in the governing document.
Unless the governing document states otherwise, invoices are due within thirty days of the invoice date. Amounts that remain unpaid after the due date may be subject to a late charge to the extent permitted by law. You are responsible for any taxes that apply to the services, other than taxes on our net income.
If you dispute an invoice, please notify us in writing within fourteen days so we can review the matter promptly. Undisputed portions of an invoice remain payable on their due date even if another portion is under discussion.
Scheduling and Site Access
Integration work often depends on production schedules, planned outages and the availability of third party vendors. We will work with you to schedule our activities so that they interfere as little as possible with your operations, and we will confirm each critical window in writing.
If a scheduled window is cancelled on short notice, or if site access is unavailable when we arrive, we may need to reschedule and to charge for the time already committed. We will notify you of additional charges before they are incurred whenever circumstances permit.
While on your site, our staff will follow your safety rules and any reasonable instructions you provide. You agree to inform us of the relevant safety requirements before our first visit.
Changes to Scope
Requirements evolve, and integration programs frequently uncover work that could not be seen at the start. When a change to the scope is proposed, we will describe its effect on the schedule, the effort and the fees, and we will ask you to authorize the change in writing before we proceed.
Work that is performed without a documented change may not be covered by the original fees, and it may affect the schedule of other tasks. Documenting changes protects both parties by keeping expectations aligned. We will not implement a significant change without your written authorization.
Intellectual Property
The content of this website, including its text, layout, styling, graphics and code, is owned by INTLDVS LLC or is used with permission and is protected by applicable intellectual property law. You may view and print the pages for your own reference, but you may not copy, republish or redistribute the content for commercial purposes without our written permission.
For client engagements, ownership of project deliverables is defined in the governing document. Unless that document states otherwise, you receive a license to use the deliverables for your internal business purposes, while INTLDVS LLC retains ownership of its pre-existing tools, methods, templates and know-how, together with any general knowledge gained during the engagement.
The names, logos and marks of INTLDVS LLC may not be used in a way that suggests endorsement or affiliation without our prior written consent.
Client Materials and Data
You retain ownership of the materials, data and configurations you provide to us. You grant INTLDVS LLC a limited license to use those materials only as necessary to perform the services and to prepare the deliverables described in the governing document.
You are responsible for ensuring that you have the right to share any material you provide to us and that doing so does not violate the rights of a third party. If we must access personal data inside a system you own, we handle that data under the written agreement between us and only for the purpose of the engagement.
Confidentiality
Each party may receive information from the other that is not publicly known and that the disclosing party treats as confidential. Each party agrees to protect the confidential information of the other with reasonable care, to use it only for the purpose of the engagement, and to disclose it only to staff or advisers who need it and who are bound to protect it.
Confidential information does not include information that is already public, that the receiving party already knew without a duty of confidence, that the receiving party independently developed, or that the receiving party rightfully obtained from a third party. A party may disclose confidential information when required by law, provided that it gives the other party reasonable notice when permitted.
Acceptable Use of the Website
You agree to use this website only for lawful purposes and in a manner that does not harm the website, its visitors or INTLDVS LLC. You agree not to attempt to gain unauthorized access to the website or its underlying systems, not to interfere with its normal operation, and not to introduce malicious code or automated traffic that degrades service for others.
You agree not to scrape, harvest or republish the content of this website for commercial purposes, and not to misrepresent your identity or your affiliation when you contact us. We reserve the right to block access and to pursue any remedy available when these restrictions are violated.
Third Party Components
Integration work frequently involves hardware, software and services supplied by third parties. Those components are governed by the terms and warranties of their own providers, and INTLDVS LLC does not warrant them beyond what we are able to pass through to you.
We will identify the third party components we recommend and will explain their licensing terms where we know them. Decisions about whether to accept those terms remain yours, and we are not responsible for a disruption caused by a third party changing its terms, discontinuing a product or failing to meet its own commitments.
Warranties and Disclaimers
We perform our services with the skill and care customary for a professional systems design firm. For a period described in the governing document, we will correct a defect in our deliverables that is reported to us and that is caused by our work rather than by a change, a misuse or a third party component.
Except for that commitment and any warranty expressly stated in a signed agreement, the website and our services are provided on an as available basis without additional warranties of any kind, whether express or implied. We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement to the fullest extent permitted by law.
We do not warrant that the website will be uninterrupted or error free, that defects will be corrected immediately, or that the website is free of harmful components. We also do not warrant that a system we design will achieve a particular business outcome, since outcomes depend on factors beyond our control.
Limitation of Liability
To the fullest extent permitted by law, INTLDVS LLC will not be liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost production, lost data or business interruption, arising out of or related to the website or our services, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, the total liability of INTLDVS LLC for any claim arising out of or related to an engagement will not exceed the total fees paid by you to INTLDVS LLC for the specific services giving rise to the claim during the twelve months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so a part of this section may not apply to you. In that case our liability is limited to the greatest extent that the applicable law permits.
Indemnification
You agree to indemnify and hold harmless INTLDVS LLC, its officers, employees and agents from any claim, loss, liability or expense, including reasonable legal fees, arising out of your breach of these terms, your violation of applicable law, or your misuse of the website or our deliverables.
INTLDVS LLC agrees to indemnify and hold harmless you from a claim that our original deliverables infringe a United States intellectual property right, provided that you promptly notify us of the claim and allow us to control its defense. This indemnity does not apply where the claim arises from materials you supplied or from modifications made by a party other than INTLDVS LLC.
Termination and Suspension
Either party may terminate an engagement according to the notice period stated in the governing document. Upon termination, you remain responsible for fees for work performed and for costs already committed up to the effective date of termination.
We may suspend or terminate your access to the website or to our services if you breach these terms, if we are required to do so by law, or if continuing would expose INTLDVS LLC or a third party to risk. Where practical, we will give you notice and an opportunity to cure the breach before suspending access.
Force Majeure
Neither party is responsible for a delay or a failure to perform that is caused by events beyond its reasonable control. Such events may include natural disasters, severe weather, epidemics, war, civil unrest, labor disputes, utility failures, network outages and government action.
The affected party will notify the other promptly and will use reasonable efforts to resume performance. If a force majeure event continues for an extended period, either party may terminate the affected portion of the engagement without further liability except for amounts already due.
Governing Law and Disputes
These terms are governed by the laws of the State of Utah and the applicable laws of the United States, without regard to conflict of law principles. Subject to any mandatory provision of the governing document, the state and federal courts located in Utah will have jurisdiction over any dispute arising out of these terms.
Before beginning formal proceedings, the parties agree to attempt to resolve a dispute in good faith through direct discussion between senior representatives of each party. If those discussions do not resolve the matter within a reasonable period, either party may proceed to the remedies available under applicable law.
If any provision of these terms is found to be unenforceable, the remaining provisions remain in full force. The failure of a party to enforce a provision on one occasion does not waive the right to enforce it later.
Changes to These Terms
We may revise these Terms of Service from time to time to reflect changes in our services, in our business practices or in applicable law. When we make a material change, we will update the date at the top of this page.
Your continued use of the website after a revision takes effect indicates your acceptance of the revised terms. If you do not accept a revision, you should stop using the website and contact us to discuss any active engagement.
